Positions Details Reporting to the CEO, the Chief Legal and HR Officer (CLHRO) leads both, the legal and human resources and people operations of the organization and embodies its Culture of Excellence supporting its strategic goals by providing business and people oriented solutions in a dynamic, outcome- driven environment.--This includes providing independent, proactive, and strategic advice related to organization-wide HR as well as legal matters. Operating in accordance with the laws, regulations, and administrative rulings of all applicable Federal and State organizations, this position will provide legal guidance on a wide array of business topics including daily operations, acquisitions, real estate, finance, risk management, and board matters supporting all Transforming Age entities. The CLHRO will also be responsible for providing strategic HR guidance, planning and execution of strategies across the organization. This CLHRO is committed to providing outstanding customer service while promoting and embodying Transforming Age's Culture of Excellence.--Key Responsibilities:
                • Oversees legal aspects of organization-wide internal and external processes; identifies and resolves compliance issues; conducts legal research and analyzes legal issues that affect the organization's activities and provides business solutions to problems
                • Provides legal advice and counsel involving the application and interpretation of federal and state healthcare laws including, but not limited to, Medicare/Medicaid regulations, CMS Requirements of Participation, corporate compliance, licensing, and HIPAA privacy and security
                • Advises on healthcare, regulatory, data privacy requirements, labor, employment, intellectual property, affiliations, acquisitions and on strategic legal matters and legal implications to mitigate risk and protect Transforming Age
                • Identifies potential legal risks of programs, projects, and operations; address legal issues as they arise; seeks viable options and alternatives in furtherance of organizational objectives
                • Drafts, reviews and as needed approves transactional documents including purchase and sale agreements, operations transfer agreements, leases and financing documents, managed care agreements, employment agreements, agreements with outside contractors and others.
                • Creates and maintains a library of practical standardized agreements/contract templates for key documents in operational, financial, transactional, ownership structure, construction, and development, as well as reviews all human resources documents, including but not limited to job applications, job descriptions, personnel handbooks and personnel policies and procedures
                • Performs continuous review and audit of Transforming Age's employment practices and provides guidance on necessary compliance updates
                • Performs legal review and/or drafts of Board Resolutions, Decision Memos, Bylaw revisions and advises on matters of governance and compliance
                • Manages all entities and maintains entity related documents; maintains qualifications and registered/statutory agents across states in which Transforming Age operates
                • Oversees risk management, including property / casualty and employer practice liability claims management and carrier facilitation.
                • Maintains direct oversight for all outside counsel, including being the point of contact and monitoring billing.
                • Reviews, monitors, and owns the Company's outside legal counsel activities and budget.
                • Reviews all incoming demands, subpoenas, requests for production of documents, liens, ensuring that all deadlines are met in responding to requests.
                • Provides strategy, leadership and support for excellence in recruitment, onboarding, recognitions and awards programs, employee engagement and satisfaction, employee health and wellbeing, compensation and rewards, benefits, performance management, training and coaching, learning and development as well as exit experience.
                • Counsel HR and management regarding drafting, implementing and enforcement of personnel policies and procedures, and handle arbitration and litigation along a full range of employment and labor relations law issues.
                • Evaluates and advises on the impact of long-range planning of new programs/strategies and regulatory action as those items affect the attraction, motivation, development and retention of the people resources of the organization.
                • Develops progressive and proactive compensation and benefits programs to provide motivation, incentives and rewards for effective performance.
                • Develops programs to allow the organization to embrace applicants and employees of all backgrounds and to permit the full development and performance of all employees
                • Continually assesses the competitiveness of all programs and practices against the relevant comparable companies, industries and markets, developing Transforming Age into an Employer of choice
                • Evaluates the HR division structure, field operations and team plan for continual improvement of the efficiency and effectiveness of the group as well as for providing individuals with professional and personal growth opportunities.
                • Advises managers on organizational policy matters, such as equal employment opportunity and sexual harassment, and recommend needed changes.
                • Acts a subject matter expert and facilitates processes and policies across the network for leave management, including FMLA, WFLA, etc.
                • Provides additional support to and coverage for the HR teams across the TA network of companies as needed
                • Occasional regional and overnight travel required
                • Demonstrates a commitment to the Transforming Age mission and our values.--Required Education, Experience, Knowledge and Specialized Training:
                  • Master's Degree in Human Resources or a related field
                  • Juris Doctorate received from an accredited law school
                  • Must be currently licensed to practice law in the state of Washington with good standing
                  • 10+ years of experience handling corporate and transactional matters, preferably within a corporate setting
                  • 10+ years of experience as VP of HR or other senior HR role
                  • Deep knowledge of HR functions including employee relations, talent management, benefits, HRIS, etc.
                  • Advanced knowledge of broad scale contract, administrative, transactional, and corporate law
                  • Experience in mergers and acquisitions in multiple states highly desirable
                  • Comprehensive knowledge of state and federal employment laws and regulations
                  • Demonstrated experience managing large-scale projects from conception to implementation
                  • Excellent verbal and written English communication skills.
                  • Demonstrated skills in Microsoft Word, Excel, Power Point and Outlook, Internet and Intranet navigation.
                  • Experience with senior living, healthcare, hospitality or multi-family real estate projects highly preferred
                  • Senior HR certification preferred, SPHR or SHRM-SCP
                  • Demonstrated ability to work in a fast-paced environment and effectively manage multiple projects simultaneously, and multiple locations, producing and communicating results.
                  • Demonstrated ability to develop and maintain effective relationships with executive team members, employees and business partner at all levels.
